Okay, run a chkdsk on your phtsys partition, you can have issues with the phatbox if you unplug it at the wrong time or if it reboots at the wrong time.
chkdsk was fine
Also after the chkdsk, remove aadec and aadec.sig from the phtsys partition and retrive the backup copies out of /phtsys/backup and place them back in /phtsys
Ummm I didn't have a /backup folder in PHTSYS. Is this done manually? Or by the bootable CD?
Nevertheless, I copied PHTSYS from the OEM DMS to my dekstop & copied aadec, aadec.sig, flacplay, & flacplay.sig from the desktop backup to the NEW DMS.
This should correct the DMS doctor messages.
Ran DMS Doctor. & Still got the MD5 fail on aadec.
This is very puzzling to me. Unless it's an NTFS <> FAT32 thing.
If these files are not there on the NEW DMS, I suggest reloading your firmware to the new DMS via PMM, and then removing the forceupdate file from phtsys so the box doesnt spend 5 minutes updating.
I did this after the MD5 failed on my backup. DMS Doctor sanctified the DMS. Yet..it still it does not boot.
Whats more, the bootload.log file is not being touched. MY first try after the firmware wizard, I had an empty bootload.log to begin with. So my next attempt (at booting in the car) I copied phat.ini (97kb) over bootload.log. After it failed to boot again, I examined bootload.log. The file was still at 97k, and upon opening it, it was indeed the ini file.
When the unit is attempting to boot. The green LED blinks thusly

5-pause-4 then repeats again & again. Never does the 'fast blink of death'
If that doesnt work, I'd ask you if this is a 20 gig VW / Audi DMS you copied from or what type of Source DMS did you use for the process?
This is indeed a 20 gig VW/Audi DMS. Bundled with the phatbox player, which was purchased new from an Audi dealer's parts web site. Since the price on these things went to sub 200 bucks I could no longer resist.
My OEM DMS still works, but I'm afraid to let PMM touch it. (No reason in particular)
I suppose at this point I'll just try the whole boot CD-R thing over again (sans the unlocking of the phatbox player) Unless there is something you want to see on the OEM or NEW DMS.
Edit: FWIW - I still have an Acronis True Image of the PHTSYS partition as it shipped from Audi (pre-patch).
